BruinLedger Terms of Service

Effective November 4, 2026

These terms are an agreement between you and BruinLedger LLC ("BruinLedger", "we", "us") for using BruinLedger, the bookkeeping service at bruinledger.com. By creating an account or using BruinLedger, you agree to them. If you use BruinLedger for a business, you agree on the business's behalf and confirm you're allowed to.

1. What BruinLedger is

BruinLedger is software for keeping a small business's books: recording transactions, invoicing customers and sending estimates, paying bills, reconciling bank accounts and producing reports. It keeps a double-entry ledger and the records behind it.

BruinLedger is a tool, not an accountant, tax preparer, lawyer or financial adviser. It doesn't give legal, tax or financial advice, and the numbers it produces are only as good as what goes into it. You (or the professionals you work with) are responsible for your books, your tax filings, your payments to tax authorities and your business decisions.

Some features help with tax and accounting judgments: the tax summary, tax lines, estimated tax plans and due dates, tax depreciation, 1099 thresholds, sales tax, loan schedules, and category suggestions. They are starting points worked out from what you enter and the rules as we understood them when we built them. Check them against current law or with your accountant before relying on them; rules, rates and due dates change.

2. Early access and features in progress

BruinLedger is in early access. While it is, new accounts may need an invite, features marked "Coming soon" aren't available yet, and features may change as we improve them. We'll tell you before taking away something important you rely on (section 10).

3. Your account

  • You need an account to use BruinLedger. Give accurate information and keep it up to date.
  • Keep your password private, and turn on two-step sign-in. You're responsible for what happens under your account and for the people you invite to your business's books.
  • The owner of a business in BruinLedger decides who can see and change its books, and with what role (owner, accountant, team member, or read-only for someone such as a lender or partner). Anyone you invite can see, and change, what their role allows.
  • An owner or accountant can send a request link asking for a statement, a document or an answer. Anyone with the link can send files or an answer through it without signing in, until the request is done, withdrawn or 60 days have passed. Share it only with the right person. What's sent goes into the business's books for review, the same as an upload.
  • Tell us right away at support@bruinledger.com if you think someone has used your account without permission.
  • You must be at least 18 to use BruinLedger.

4. Your data is yours

  • Everything you put into BruinLedger or connect to it (transactions, invoices, estimates, customer and vendor details, documents, bank data, payment records) is your data. We don't own it, sell it, or use it to advertise to you or anyone else.
  • You give us permission to store, copy, process and display your data only as needed to run BruinLedger for you: for example, to show your reports, send the invoices and estimates you ask us to send, read the documents you upload or email, and keep backups.
  • You can download everything at any time (Business settings → Your data → Download everything).
  • You're responsible for having the right to put your data in BruinLedger, including your customers' and vendors' contact details and any documents you upload or email to it.
  • How we handle personal information is described in the Privacy Policy.

5. Reading documents, suggestions and automatic adding

BruinLedger reads documents and suggests categories using AI, and can add transactions automatically under rules you choose to trust. Reading and suggestions can be wrong. Nothing goes into your books until you approve it, except under a rule you've turned on to add automatically; review what's added, and turn a rule off if it isn't right. You're responsible for what you approve and for the rules you turn on.

6. Your customers: links, estimates and payments

  • Private links. Invoices, estimates and customer pages each have a private link. Anyone with the link can see that document, so share it only with the right person. You can stop using a link, but anyone who has copied the information may keep it.
  • Estimates accepted online. When a customer accepts an estimate by typing their name, BruinLedger records it for you. The agreement is between you and your customer; BruinLedger isn't a party to it, and whether a typed acceptance is enough for your work is for you (and your lawyer) to decide.
  • Online payments and deposits. Card and bank payments from your customers go through Stripe, into your business's own Stripe account, under Stripe's terms between you and Stripe. BruinLedger never holds your money and takes no fee from it. Refunds, chargebacks and disputes are handled between you, your customer and Stripe. BruinLedger records payments in your books, and deposits as money held for the customer until the work is invoiced; that is bookkeeping, not holding funds.
  • Retainage and progress billing are recorded as you set them up; the terms of your contract with your customer are yours.

7. Services from other companies

Some parts of BruinLedger rely on other companies, and their terms apply when you use them:

  • Bank connections use Plaid. By connecting a bank, you allow Plaid to collect your account information and share it with BruinLedger, under Plaid's end user privacy policy.
  • Reading documents you upload or email, and category suggestions, use Anthropic's Claude.
  • Email BruinLedger sends for you (invoices, estimates, reminders, invitations, sign-in emails), and emails sent to your business's receipts address, go through Resend.
  • Payments from your customers go through Stripe, under your own Stripe account and Stripe's terms.

We aren't responsible for those companies' services, and a bank or other provider may change or stop a connection at any time.

8. Using BruinLedger fairly

Don't use BruinLedger to break the law, to commit fraud, to send spam or misleading invoices or estimates, to collect payments you aren't owed, to store data you have no right to, or to harm BruinLedger or other people's use of it (for example, by trying to get into other accounts, probing for weaknesses without our permission, overloading the service, or copying BruinLedger to build a competing product). We may suspend accounts that do.

Document reading, bank connections and email are meant for a business's own bookkeeping. Your plan includes a monthly amount of document reading, shown in Business settings; past it, reading pauses unless an owner turns on extra reading at the price shown there. Email sent from BruinLedger is limited per hour and per day, and emailed receipts per day. If an account's use goes far beyond normal bookkeeping, we'll contact you first, and may then reasonably limit it. Don't use several accounts or businesses, automation or other workarounds to get around these limits; we may limit or suspend accounts that do. We act without notice only to stop automated or abusive traffic.

9. Fees

During early access. BruinLedger is free while it’s in early access, which runs until we announce paid plans. We’ll tell you at least 30 days before any fee applies to your account. If you’d rather not continue, you can download everything and close your business in BruinLedger before then, and you won’t be charged.

After early access. BruinLedger will be offered on paid plans at the prices on our pricing page at bruinledger.com/pricing. Before you’re charged, you’ll choose a plan and agree to its billing terms (how it renews, how to cancel, and refunds), which will be added to these terms. We’ll give at least 30 days’ notice before changing the price of a plan you’re on.

Extra document reading. Extra document reading past your plan's allowance is charged only if an owner turns it on, at the price shown in Business settings.

10. Changes and availability

We're improving BruinLedger all the time, so features will change. We aim to keep BruinLedger available and your data safe, with backups, but we can't promise it will always be available or free of errors. We'll tell you before making a change that takes away something important you rely on.

11. Ending your use of BruinLedger

  • You can stop using BruinLedger at any time. Download your data first. An owner can close a business in Business settings → Close this business: its bank connections end at once, it can be reopened for 30 days, and then everything in it is deleted for good. To close your sign-in account too, ask us at support@bruinledger.com.
  • We may suspend or close an account that breaks these terms, or that we have to close by law. Unless that would be unlawful or put others at risk, we'll tell you first and give you a chance to download your data.
  • After an account or business is closed, we delete its data as described above and in the Privacy Policy, except what we must keep by law, and copies in backups, which are deleted as the backups expire.

12. Disclaimers

BruinLedger is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability and non-infringement. Check important figures before relying on them, especially for tax filings and payments.

13. Limits on our liability

To the extent the law allows, we aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, or for tax penalties or interest, arising from your use of BruinLedger. Our total liability for any claim about BruinLedger is limited to the greater of what you paid us for BruinLedger in the 12 months before the claim, or $100. Some places don't allow these limits, so they may not all apply to you.

14. Responsibility for claims

If your use of BruinLedger, or your data, leads to a claim against us by someone else (for example, because you sent an invoice or estimate you had no right to send, collected a payment you weren't owed, or put in data you weren't allowed to share), you agree to cover our reasonable costs of dealing with it.

15. Law and disputes

These terms are governed by the laws of Michigan, without regard to its conflict-of-law rules. Disputes will be heard in the state or federal courts in Oakland County, Michigan, and both of us agree to that. Before going to court, we'll both try to settle it informally by contacting each other first.

16. Changes to these terms

We may update these terms. If a change is significant, we'll tell you by email or in BruinLedger at least 30 days before it takes effect. Continuing to use BruinLedger after that means you accept the new terms.
